SUPPLEMENTAL NOTICE IS HEREBY GIVEN that a public hearing pursuant to Article 18-A of the New York State General Municipal Law will be held by the Town of Brookhaven Industrial Development Agency (the “Agency”) on the 8th day of December, 2021, at 10:00 a.m. local time, at the Town of Brookhaven Industrial Development Agency, 2nd Floor, One Independence Hill, Farmingville, New York 11738, in connection with the following matters:

American Regent, Inc., a business corporation organized and existing under the laws of the State of New York, on behalf of itself and/or the principals of American Regent, Inc. and/or an entity formed or to be formed on behalf of any of the foregoing (the “Company”), has applied to the Agency to enter into a transaction in which the Agency will assist the Company in the acquisition of a leasehold interest in an approximately30.2748 acre parcel of land located at 5 Ramsey Road Drive, Shirley, Town of Brookhaven, New York (further identified as Tax Map Nos. District 0200, Section 584.00, Block 01.00, Lot 004.003, 004.005, 4.039 and 4.043) (the “Land”), upon which there are three (3) existing 2-story buildings. The Company has requested the Agency’s assistance in connection with the construction and equipping of an approximately 18,109 square foot expansion to one of the existing approximately 94,876 square foot manufacturing buildings with accessory office space (“Building One”), the renovations of approximately 37,650 square feet of space in Building One (the “Improvements”) and the acquisition and installation of equipment, including, but not limited to, the acquisition of process and manufacturing isolated fill lines and the accompanying office and laboratory space to support such lines (collectively, the Equipment”; and with the Land and Improvements, the “Facility”), all to be leased by the Agency to the Company, and used by the Company for the development, manufacturing and warehousing of generic drugs (the “Project”). The Facility will be initially owned and managed or operated by the Company.

Public hearings were previously held electronically by the Agency on November 30, 2020 and June 22, 2021 with respect to the Project described in the preceding paragraph.

The Agency contemplates that it will provide financial assistance to the Company in the form of exemptions from mortgage recording taxes in connection with the financing or any subsequent refinancing or permanent financing of the Facility, exemptions from sales and use taxes in connection with the construction and equipping of the Facility, and abatement of real property taxes, all consistent with the uniform tax exemption policies (“UTEP”) of the Agency.

A representative of the Agency will, at the above-stated time and place, hear and accept written comments from all persons with views in favor of or opposed to either the proposed financial assistance to the Company or the location or nature of the Facility. Prior to the hearing, all persons will have the opportunity to review on the Agency’s website (https://brookhavenida.org/), the application for financial assistance filed by the Company with the Agency and an analysis of the costs and benefits of the proposed Facility.
